GetHits.com Partner Program Agreement

1. This document describes the entire terms and conditions for participation in the GetHits.com Partner Program. In this agreement, the term "Partner" refers to you (the applicant), and "referring website" refers to the Web site from which you will link to GetHits.com. Wherever the agreement refers to "you" or "your", it means "the Partner" (as per paragraph (3) below); "GetHits.com", "we", "us" or "our" refers to GetHits.com (a division of InterSight Holdings, Inc.). By sending the required partner information and setting up a referring link to GetHits.com, you agree to be bound by the terms of this agreement.

2. Referring Link & Graphics: You shall provide a link to GetHits.com based on the choices of HTML code and graphics given by us (link, button, or banner). The code and/or graphic may be added to or removed from the referring website without prior approval from GetHits.com. However, the intent and URL of the code must not compromised and may be altered only with respect to adding your company name or logo and/or any additional text explaining GetHits.com promotion services and benefits. GetHits.com reserves the right to have your link, or file it points to, removed for any reason and at our discretion. The partner must remove any or all links upon request by GetHits.com. GetHits.com retains all rights to any and all of it's service marks, trademarks, and copyrighted material.

3. Partner: The partner and GetHits.com are independent contractors and nothing in this agreement is intended to or will create any form of partnership, joint venture, agency, franchise, sales representative or employment relationship between the parties. The partner may not assign this Agreement, by operation of law or otherwise, without the prior written consent of GetHits.com. Subject to the foregoing restriction, this agreement is binding upon, insures to the benefit of, and is enforceable by the parties and their respective successors and assigns. The partner may cancel this agreement and exit the program at any time.

4. Program: GetHits.com agrees that in exchange for any sale resulting from a partner referral, GetHits.com shall pay the partner according the to commission schedule below. Commissions shall be paid as a percentage of the total amount of "commissionable services and products." Once a higher commission level is attained, the partner will not go back to a lower level if sales volume decreases. The commission structure and increases will be based on the total commission (not gross sales) made in any given calendar month: 0 - $299: 15%; $300 - 1,199: 30%; $1,200 - $2,499: 45%; $2,500+: 50%. Commissions will be paid out by check in U.S. funds within 15 days after the end of each month. GetHits.com is not responsible for delays due to postal strikes or errors. Commissions will be paid on every qualifying purchase a customer makes as long as they came to GetHits.com's website though the partner's referring URL. An order received does not become commissionable until the payment has been cleared; also, the commissions on any refunds or cancellations will be deducted from the partners next payment. Qualifying purchases include submission services only at this time; this may amended when new qualifying services are added. GetHits.com has exclusive right to the pricing of its services. The partner may not mention prices on the referring website or on any promotional material. GetHits.com, at it's sole discretion, reserves the right to change or cancel this agreement and at any time, with or without notice. The Partner may not use the discount for his/her own website until at least three commissionable sales has been made.

5. Tracking: GetHits.com is solely responsible for tracking of customers from the partner's website and will make sure this is performed as accurately as possible (provided the partner's referring URL has been formatted properly). However, GetHits.com will not be held liable for technical errors (either on the server or client side) and makes no guarantees as to the efficacy of any tracking method.

6. Limitation of Damages & Warranty Disclaimer: GetHits.com shall in no way be liable for any loss of revenue or profits incurred directly or indirectly by the partner's involvement with GetHits.com and with this program. Furthermore, GetHits.com makes no warranties, representations, or guarantees as to the effectiveness or profitability of this program.

7. Governing Law: This agreement shall be governed by the laws of Canada and the province of British Columbia.
